1. Acceptance of Terms

By accessing or using services provided by Zentyx (trading as Zentyx Limited), including our hosting services and subsidiary brands EclipseNode and EcoVM, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Zentyx Limited provides comprehensive IT solutions and hosting services directly, as well as through its subsidiary brands EclipseNode and EcoVM. These services include but are not limited to web hosting, virtual private servers, dedicated servers, cloud solutions, and related IT infrastructure services.

3. Account Registration

To access certain features of our services, you may be required to register for an account with Zentyx Limited. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.1. Identity Verification

By placing an order with Zentyx Limited, you authorise us to conduct Know Your Customer (KYC) verification checks as required. You agree to provide any requested documentation, including legal identification and proof of address, within 48 hours of our request.

If the requested information is not received within 48 hours:

• Unprovisioned orders: Your order will be cancelled and a refund is offered under Zentyx Limited's discretion but is not guaranteed.
• Provisioned services: Your service will be suspended and subsequently terminated in accordance with Section 7 of these Terms of Service and our Acceptable Use Policy, a refund is offered under Zentyx Limited's discretion but is not guaranteed.

4. Service Availability and Uptime

While Zentyx Limited strives to provide reliable and consistent services, we do not guarantee uninterrupted availability. We are committed to maintaining high levels of uptime as specified in our Service Level Agreements (SLAs), which may vary depending on the specific service offering.

5. Payment and Billing

You agree to pay all fees associated with your selected services from Zentyx Limited. Current pricing details are available on our respective brand websites. Zentyx Limited reserves the right to modify pricing structures with reasonable advance notice to customers. Refund eligibility and processing are subject to our established refund policy.

6. UK/EU Consumer Rights

In accordance with applicable EU and UK consumer protection laws, individual consumers may have a statutory right to cancel their purchase within 14 days of the order date (the “cooling-off period”). However, this right does not apply once a digital service has been provisioned, activated or otherwise made available to you, provided that you were informed of and expressly consented to the immediate start of service delivery and acknowledged the loss of the right to cancel.

• Hosting, VPS and other digital services: Once provisioned or activated, these services are exempt from the 14-day cancellation right and are non-refundable unless you meet the external criteria which is specified in this document.
• Dedicated servers and Rent-to-Own (RTO) servers: Provisioning is defined as the point at which Zentyx Limited commits resources to fulfil your order, including but not limited to ordering hardware from a supplier, allocating existing hardware, or beginning setup and installation. Orders may be cancelled for a refund only prior to provisioning. Once provisioning has commenced, the order is exempt from cancellation and is non-refundable, regardless of whether the server has been delivered to you yet.
• Unprovisioned services: If a service has not yet been provisioned or activated, you may request a refund within the 14-day period. This must be confirmed with Zentyx Limited and ensured that they have not started provisioning beforehand.

By placing an order with Zentyx Limited, you acknowledge and agree that service delivery may begin immediately upon payment and that once provisioning or activation has started, you will lose your statutory right to cancel and obtain a refund unless you meet other circumstances explicity specified.

7. Suspension and Termination

Zentyx Limited reserves the right, at its sole discretion, to suspend, restrict, or terminate your account and access to our services, with or without prior notice, if we reasonably believe you have:

• Violated these Terms of Service, our Acceptable Use Policy (AUP), or any other applicable policies;
• Engaged in, or allowed others to engage in, activities that are unlawful, abusive, harmful, or detrimental to our infrastructure, reputation, or other customers; or
• Been identified, through credible reports or internal investigation, as engaging in or facilitating illegal or suspicious activity.

In such cases, Zentyx Limited shall not be liable for any resulting loss of access, loss of data, or damages incurred. You acknowledge that termination or suspension for breach of these terms does not entitle you to any refund or credit.

8. Intellectual Property

All content, materials, software, trademarks, logos, and proprietary technologies available through Zentyx Limited services are the exclusive property of Zentyx Limited or its authorized licensors and are protected by applicable intellectual property laws and international treaties.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Zentyx Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use our services;
• Zentyx Limited shall not be liable for the content, actions, or omissions of any user of our services;
• Zentyx Limited provides services “as is” and makes no warranties or guarantees, express or implied, regarding their performance, security, or suitability for your purposes.

You are solely responsible for ensuring that any content hosted or transmitted through our services complies with applicable laws and regulations. Zentyx Limited does not actively monitor customer content and disclaims responsibility for such content.

10. Indemnification

You agree to indemnify, defend, and hold harmless Zentyx Limited, its subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:

• Your use of the services;
• Your breach of these Terms of Service, the Acceptable Use Policy, or applicable law;
• Any content, data, or material you transmit, store, or host using our services.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

Zentyx Limited reserves the right to modify these Terms of Service at any time. We will provide notification of significant changes through our website, email communications, or other appropriate means. Continued use of Zentyx Limited services after such modifications constitutes acceptance of the updated terms.

For consumer accounts, changes will apply after 15 days’ notice. For business accounts, changes apply immediately upon posting, unless otherwise specified.
